Turnium Technology Group Inc. Announces Issuance of Shares for Debt

Turnium Technology Group Inc. intends to issue shares for debt with two creditors

August 17, 2022 – Vancouver, Canada – Turnium Technology Group Inc. (TSX.V: TTGI) (“Turnium” or “the Company”), an industry leader in cloud-native software-defined wide area networking solutions (SDWAN), announces that it intends to settle debt with two creditors of the Company (the “Creditors”) through the issuance of common shares of the Company (the “Debt Settlement”). All dollar amounts in this news release are stated in Canadian Dollars.

The Debt Settlement will consist of the issuance of an aggregate of 324,928 common shares of the Company at a deemed price of $0.56 per common share, in consideration of the settlement of a total of $181,957 in debt owing to the Creditors. The Creditors are at arm’s length to the Company. The issuance of the common shares is subject to the approval of the TSX Venture Exchange. The shares are subject to a statutory hold period expiring on the date that is four months and one day from the date of issuance in accordance with applicable securities legislation.
